The SESHA Business Directory provides business owners with an online presence and tools to connect with customers. By creating a business listing, you accept these terms in addition to the General Terms and Conditions.

2. Eligibility

  • The business must be a registered entity in good standing with the Companies and Intellectual Property Commission ("CIPC"), or an equivalent authority for international companies operating in South Africa.
  • The business must operate in South Africa and have a verifiable physical address and contact details.
  • International companies must have a registered office or legal representative in South Africa.
  • Only the business owner or a person with explicit written authority from the owner may create or manage a business listing.

3. Profile Content Standards

  • All information must be accurate and not misleading.
  • Hero images and logos may not contain nudity, violence, or explicit content.
  • Do not use content that infringes on third-party intellectual property rights. SESHA accepts no responsibility for intellectual property disputes — you are solely liable.
  • Do not offer products or services that the business does not actually provide.
  • Do not use profanity.
  • Do not list products or services that are illegal or in contravention of any applicable law.

  • Posts must not contain nudity, violence, gore, or explicit images.

Profile Terms

1. Introduction

Every registered SESHA user is automatically assigned a personal user profile. Profiles are intended for use by natural persons only and may not be used to represent companies, organisations, groups, charities, or any other non-individual entity.

By creating or using a profile, you agree to these Profile Terms in addition to the General Terms & Conditions.

2. Eligibility and Account Responsibility

  • You must provide accurate, current, and complete information when creating or updating your profile.
  • You may not impersonate any other person or misrepresent your identity, affiliation, or credentials.
  • You are solely responsible for all activity and content associated with your profile.
  • You must keep your login credentials confidential and secure.

3. Profile Content Rules

  • Content must not be false, misleading, defamatory, abusive, threatening, or harassing.
  • You may not use your profile to engage in unlawful activity.
  • Commercial advertising, solicitation, or promotion is not permitted on personal profiles unless explicitly authorised by SESHA in writing.
  • You are responsible for ensuring that all content posted complies with applicable South African law.

4. Profile Images and Media

  • Nudity, pornography, or sexually explicit content is strictly prohibited.
  • Content depicting violence, self-harm, terrorism, or criminal activity is not permitted.
  • Content that is hateful, discriminatory, or incites harm against any person or group is prohibited.
  • You may only upload images, videos, and media that you own or have valid legal rights to use.
  • All uploaded media must comply with applicable South African law, including the Films and Publications Act 65 of 1996 and POPIA where personal information is involved.

5. Platform Integrity and Anti-Circumvention

SESHA may apply limits to profiles and account features depending on membership type or platform rules.

You may not:

  • Create multiple accounts to bypass restrictions or limits;
  • Use automated systems, bots, or scripts to manipulate profile features; or
  • Attempt to bypass or interfere with technical restrictions or security controls.

SESHA reserves the right to suspend or terminate accounts found to be in violation of these rules, with or without notice where necessary.

6. Privacy and Public Information

Certain information on your profile may be visible to other users or the public depending on your settings and Platform functionality.

By choosing to make information public, you acknowledge that SESHA cannot control how third parties may use or process that information.

SESHA is not responsible for misuse of information that you voluntarily disclose publicly.

7. Compliance With Law

You agree that all profile content and activity must comply with applicable South African law, including but not limited to POPIA, the Electronic Communications and Transactions Act 25 of 2002, and the Films and Publications Act 65 of 1996.

8. Removal and Enforcement

SESHA reserves the right, but is not obligated, to review, remove, restrict, or disable any profile or profile content that it reasonably believes:

  • Violates these Profile Terms or the General Terms;
  • Is unlawful or misleading;
  • Presents a security or reputational risk; or
  • May harm users, third parties, or the Platform.

9. Indemnity

You agree to indemnify and hold harmless SESHA, its directors, employees, and affiliates from any claims, damages, liabilities, or expenses arising from:

  • Your use of your profile;
  • Your breach of these Profile Terms;
  • Your violation of applicable law; or
  • Your infringement of third-party rights.

10. Changes to These Terms

SESHA may update these Profile Terms from time to time. Continued use of your profile after updates constitutes acceptance of the revised terms.

Sesha Passive Terms

1. Introduction

Sesha Passive is a membership-based referral programme operated by Passive Web (Pty) Ltd that allows eligible members to earn commissions by referring third parties to purchase SESHA memberships and advertising services.

Upon acceptance into the programme, each participant receives a unique referral code. When a qualifying purchase is made using that referral code, the participant may earn a commission based on the applicable commission structure as determined by SESHA from time to time.

Discounts or promotional benefits for referred purchasers may also apply at SESHA’s discretion.

SESHA may change commission structures, eligibility rules, or programme mechanics at any time, with or without prior notice, subject to applicable law.

2. Nature of the Programme

Sesha Passive is a membership and referral incentive programme and does not create any employment relationship, partnership, joint venture, agency, or franchise relationship between participants and SESHA.

Participants act independently and are solely responsible for their own marketing, referrals, and compliance with applicable law.

3. Eligibility

  • Participants must be a South African citizen with a valid ID.
  • Participants must be at least 18 years of age.
  • Participants must be registered SESHA users in good standing.
  • Participants must have a valid South African bank account in their own name.
  • A non-refundable annual membership or registration fee is required as specified on the Platform at the time of application.
  • Applicants must complete the application process through their SESHA account.

4. Application and Acceptance

  • Acceptance into the programme is at the sole discretion of SESHA.
  • SESHA is under no obligation to accept any application and may decline applications without providing reasons.
  • All information provided must be accurate, complete, and not misleading.
  • False, incomplete, or misleading applications may result in rejection or termination.
  • Only one application per person is permitted.
  • All decisions made by SESHA regarding acceptance are final.

5. Referral Codes and Usage Rules

  • Each approved participant is issued a unique referral code.
  • Referral codes may only be used for genuine third-party referrals.
  • You may not use your own referral code for personal purchases or transactions linked to your own account.
  • You may not attempt to manipulate, simulate, or artificially generate referrals or transactions.
  • Misuse of referral codes may result in forfeiture of commissions, suspension, or termination.

6. Marketing and Conduct

  • Participants are responsible for ensuring that their marketing activities comply with all applicable South African laws, including consumer protection and electronic communications laws.
  • You must obtain appropriate permission before sending direct marketing messages to third parties where required by law.
  • Participants may not misrepresent SESHA, the programme, or potential earnings.
  • Any marketing materials provided by SESHA remain its intellectual property and may only be used under a limited, revocable licence for promoting SESHA services.
  • SESHA may request removal of any marketing content at any time.

7. Earnings and Commissions

Commission is earned only on qualifying transactions successfully tracked through valid referral codes and subject to SESHA’s verification and fraud prevention processes.

SESHA does not guarantee any income, earnings, or financial benefit. Any income generated depends entirely on third-party purchasing behaviour and programme rules.

SESHA reserves the right to adjust commission rates, qualifying conditions, and payout structures at any time, subject to applicable law.

8. Payments

Commission payments are processed monthly on a date determined by SESHA and reflected in the participant dashboard.

SESHA may withhold, delay, or reverse payments where there is reasonable suspicion of fraud, abuse, policy violations, chargebacks, or system manipulation.

Participants are responsible for ensuring that their banking details are correct and up to date.

9. Fees and Refunds

A non-refundable membership or application fee may apply to join the Sesha Passive programme, as displayed on the Platform at the time of application.

A cooling-off period of 7 calendar days may apply to new applications, during which a refund may be requested, less reasonable administrative and payment processing costs, unless services or access have already been provided.

After acceptance into the programme, all fees are non-refundable except where required by applicable law.

10. Suspension and Termination

SESHA may suspend or terminate participation in the programme at any time, with or without notice, where it reasonably believes that:

  • These Terms have been breached;
  • Fraudulent or abusive activity has occurred;
  • Misuse of referral codes or systems has taken place;
  • Marketing practices are unlawful or harmful; or
  • Continued participation may harm SESHA or its users.

Upon termination, unpaid or disputed commissions may be withheld or forfeited where legally permissible.

11. Limitation of Liability

SESHA is not responsible for any loss of income, business opportunity, reputation, or indirect damages arising from participation in the programme.

Participation is at your own risk.

12. Changes to These Terms

SESHA may update these Sesha Passive Terms at any time. Continued participation in the programme constitutes acceptance of any updated terms.

Services Terms

1. Introduction

The SESHA Services section is a lead generation and service request platform operated by Passive Web (Pty) Ltd. It allows users ("Requesters") to submit requests for services by selecting a category and providing details about their needs.

These requests may be made available to registered service providers ("Providers") who may choose to respond and offer services directly to Requesters.

SESHA acts solely as a technology facilitator and does not provide, control, guarantee, or endorse any services offered or agreed upon between Requesters and Providers.

2. Eligibility

Users must be at least 18 years old and legally capable of entering into binding agreements under South African law to use the Services section.

3. Requester Responsibilities

  • You must provide accurate, complete, and lawful information when submitting a service request.
  • You may only submit genuine and lawful service requests.
  • Submitting a request does not guarantee that any Provider will respond or that services will be available.
  • You are responsible for verifying the suitability, credentials, and reliability of any Provider you engage.
  • SESHA is not responsible for any loss, damage, or delay resulting from incorrect or incomplete information provided by you.

4. Provider Responsibilities

  • Providers must be registered and verified business users on the SESHA Platform where required.
  • Leads and Requests may only be used for the purpose of responding to and fulfilling the specific service request.
  • Leads may not be sold, shared, distributed, or used for unrelated marketing purposes.
  • Providers must comply with all applicable South African laws, including POPIA, when processing or storing Requester information.
  • Providers are solely responsible for the quality, legality, and delivery of their services.
  • Providers are responsible for ensuring that they have the necessary qualifications, licenses, or permissions required to offer their services where applicable.

5. SESHA’s Role and Limitation of Liability

SESHA provides a platform for connecting Requesters and Providers but is not a party to any agreement, transaction, or dispute between them.

SESHA is not responsible or liable for:

  • The quality, accuracy, legality, or availability of any services;
  • The conduct of any Requester or Provider;
  • Any communication or agreement between users;
  • Any loss, damage, injury, or claim arising from services arranged through the Platform.

The Platform is provided on an "as is" basis without warranties of any kind. To the maximum extent permitted by law, SESHA’s liability in relation to any service request shall be limited to any amount (if any) actually paid by you directly to SESHA in respect of that specific service request.

6. User Disputes

Any disputes arising between Requesters and Providers must be resolved directly between the parties involved. SESHA has no obligation to mediate, intervene, or resolve such disputes.

7. Indemnity

You agree to indemnify and hold harmless Passive Web (Pty) Ltd, its directors, employees, affiliates, and agents from any claims, damages, liabilities, or expenses arising from:

  • Your use of the Services section;
  • Your breach of these Terms;
  • Your violation of any applicable law; or
  • Any dispute between you and another user.

8. Intellectual Property

All content, software, design elements, text, graphics, and materials on the Platform are the property of Passive Web (Pty) Ltd or its licensors and are protected by applicable intellectual property laws.

You may not copy, reproduce, modify, distribute, or commercially exploit any part of the Platform without prior written consent from SESHA.

9. Suspension and Removal

SESHA reserves the right to remove service requests, restrict access, or suspend users where it reasonably believes that:

  • These Terms have been violated;
  • Fraudulent, abusive, or unlawful activity is occurring;
  • User behaviour poses a risk to the Platform or other users; or
  • Legal or regulatory compliance requires such action.

10. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from or relating to these Terms shall be subject to the jurisdiction of the courts of South Africa.

Website Directory Terms

1. Introduction

The SESHA Website Directory allows members to submit and list websites to help users discover and access online content more efficiently than through traditional search engines.

These Website Directory Terms apply to all submissions and listings and operate in addition to the General Terms & Conditions.

2. Nature of the Directory

The Website Directory is an indexing and discovery service only. SESHA does not host, control, operate, or endorse any third-party websites listed in the Directory.

Inclusion of a website in the Directory does not constitute approval, verification, or endorsement by SESHA.

3. Eligibility and Submission Requirements

  • Only single primary domain URLs are permitted (e.g., example.co.za). Subdomains, deep links, and URL paths may be restricted or rejected.
  • You must be the lawful owner of the website or have explicit authority from the owner to submit it.
  • Submitted websites must be active, functional, and publicly accessible at the time of submission and throughout their listing period.
  • Submission limits may apply based on membership tier, and you may not attempt to circumvent these limits.
  • You are responsible for ensuring that all submitted information is accurate and up to date.

4. Prohibited Websites

The following types of websites may not be submitted or listed:

  • Websites involved in fraud, scams, deception, or misleading practices
  • Websites containing pornography or sexually explicit material
  • Websites distributing malware, viruses, or harmful code
  • Websites engaging in or facilitating illegal activity under South African law
  • Websites infringing intellectual property or other third-party rights
  • Websites promoting hate speech, violence, discrimination, or harassment

5. User Responsibilities

  • You must provide accurate, complete, and truthful information when submitting a website.
  • You are responsible for the content, legality, and operation of any submitted website.
  • You must notify SESHA if your website becomes inactive, changes ownership, or no longer complies with these Terms.
  • You acknowledge that SESHA is not responsible for the content or actions of any listed website.

6. SESHA Rights and Moderation

  • SESHA reserves the right to approve, reject, suspend, or remove any website listing at its sole discretion, with or without notice.
  • SESHA may remove or restrict listings that are inaccurate, outdated, harmful, or non-compliant with these Terms.
  • SESHA may modify, suspend, or discontinue the Website Directory at any time.
  • Inclusion in the Directory does not imply endorsement, recommendation, or verification of any website.

7. Licence

By submitting a website, you grant SESHA a non-exclusive, worldwide, royalty-free licence to display, reproduce, and distribute the submitted website’s URL, name, description, and associated metadata for the purpose of operating and promoting the Website Directory.

This licence remains in effect for as long as the website is listed and may be retained for archival or legal purposes after removal where required by law or legitimate business needs.

8. Limitation of Liability

To the fullest extent permitted by South African law, Passive Web (Pty) Ltd shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising from:

  • Your use of the Website Directory;
  • Your reliance on any listed website;
  • Any interaction with third-party websites; or
  • Any loss or damage resulting from submitted website content or availability.

9. Indemnity

You agree to indemnify and hold harmless Passive Web (Pty) Ltd, its directors, employees, affiliates, and agents from any claims, damages, liabilities, or expenses arising from:

  • Your submitted website;
  • Your breach of these Terms;
  • Your violation of applicable law; or

SESHA may remove or suspend any website listing at any time where it reasonably believes that the listing:

  • Violates these Terms;
  • Is inaccurate or misleading;
  • Presents legal, security, or reputational risk; or
  • No longer meets submission requirements.

11. Governing Law

These Terms are governed by the laws of the Republic of South Africa. Any disputes arising from or relating to these Terms shall be subject to the jurisdiction of the courts of South Africa.
